Legal — CrewBrief
Last updated: July 2026 (version 5)
These Terms of Service ("Terms") are a binding legal agreement between you and CrewBrief LLC ("CrewBrief," "we," "us," or "our"), governing your access to and use of the CrewBrief platform, including the website, contractor dashboard, and mobile application (collectively, the "Service").
By creating an account, accepting a job invitation, clicking "I agree," or otherwise accessing or using the Service, you accept these Terms. Your acceptance is recorded with a timestamp and the version of the Terms you accepted. If you do not agree to every provision of these Terms — including the arbitration agreement and class action waiver in the Arbitration section — do not use the Service.
If you use the Service on behalf of a business, you represent that you have authority to bind that business, and "you" includes that business.
CrewBrief is a work documentation platform. It enables businesses and team leads ("Contractors") to create job records, invite workers, and document work sessions through worker-initiated GPS coordinate snapshots, photos, timestamps, e-signed job terms, and approval workflows. The Service generates exportable, sealed records of completed job sessions.
CrewBrief documents hours worked and amounts recorded as due for record-keeping purposes only. That documentation is a reference tool. It is not a payment instrument, does not create, modify, or guarantee any payment obligation, and is not a representation by CrewBrief that any amount is owed or will be paid.
All financial, employment, and contractual arrangements between Contractors and workers are entirely the responsibility of those parties. CrewBrief provides documentation tools only, and nothing in the Service — including any total, threshold alert, or export — is a statement about what any party legally owes or is owed.
Nothing in the Service constitutes legal, tax, accounting, or professional advice. Document templates, threshold alerts (such as IRS reporting-threshold flags), classification labels, and any informational content are provided for convenience only and may be incomplete, out of date, or inapplicable to your situation. You are solely responsible for consulting your own attorney, accountant, or other professional adviser before relying on anything in the Service.
You agree that you will not rely on the Service as a substitute for professional advice, and that CrewBrief has no liability for any fine, penalty, assessment, judgment, or loss you incur as a result of such reliance.
To use CrewBrief, you must:
You are responsible for all activity that occurs under your account, whether or not authorized by you, until you notify us of a compromise. CrewBrief may refuse, suspend, or terminate any account at its sole discretion, including for violation of these Terms.
CrewBrief's classification labels reflect the Contractor's own selection, not an assessment by CrewBrief. CrewBrief does not supervise, direct, schedule, or control any worker and is not a joint employer of any worker for any purpose. The Contractor agrees to indemnify CrewBrief, as set out in the Indemnification section, against any claim arising out of worker classification, wages, or payment obligations.
As a Contractor using CrewBrief, you agree to:
As a worker using CrewBrief, you agree to:
GPS collection in CrewBrief is snapshot-only and worker-initiated: a single coordinate captured at check-in, check-out, and stop boundaries. CrewBrief does not perform continuous or background location tracking and does not enforce geofences on 1099 workers.
If GPS is unavailable (permission denied or device location off), the session is still recorded with a GPS state of UNAVAILABLE, and that state appears in the sealed record. GPS accuracy depends on the device and environment; CrewBrief does not warrant the accuracy of any coordinate and cannot detect all forms of GPS spoofing.
Submitting falsified photos, manipulated GPS data, or misleading documentation is a material breach of these Terms and grounds for immediate termination — and may expose you to civil and criminal liability to the parties who rely on those records.
Sealed records are immutable within CrewBrief: nothing edits a sealed session, a signed document, or an audit-log entry. Corrections are made only by signed amendments appended to the record. Both parties to a session retain access to their own sealed records and signed documents, even if the other party's account closes.
You are responsible for the distribution and use of records you export. CrewBrief is not responsible for how exported records are used by you or by third parties, including courts, agencies, lenders, or counsel.
For personal information of workers and other individuals that a Contractor causes to be collected through the Service (job records, session records, photos, signatures), the Contractor is the controller (or "business" under the CCPA/CPRA) and CrewBrief acts as the Contractor's processor (or "service provider"), processing that information solely to provide the Service as described in our Privacy Policy. CrewBrief is the controller of account registration data and of data it must process for its own legal compliance.
CrewBrief's processor obligations — processing instructions, confidentiality, subprocessors, security, breach notice, and assistance with privacy-rights requests — are set out in the CrewBrief Data Processing Agreement, which is incorporated into these Terms for every Contractor. Contractors are responsible for having a lawful basis for the collection they direct and for providing any notice their jurisdiction requires to their own workers.
CrewBrief records are designed to be tamper-evident: entries are hash-chained and independently timestamped so that after-the-fact alteration is detectable. Tamper-evident does not mean tamper-proof, and it does not mean a court or agency will accept the record.
You agree not to:
We may investigate suspected violations and cooperate with law enforcement. We may remove content and suspend or terminate access at our sole discretion to protect the Service, its users, or third parties.
Certain features use SMS text messages — for example, one-time verification codes and job-related operational notifications. SMS is opt-in: your consent is your own, given when you provide your mobile number and confirm enrollment. If a Contractor provides your phone number to invite you to a job, that does not enroll you: the only message sent before you opt in is a single, limited invitation to opt in, and no further messages are sent unless you do. Message frequency varies; message and data rates may apply. Reply STOP to cancel and HELP for help at any time. Consent to SMS is not a condition of any purchase.
See our SMS Opt-In Disclosure for full program details. CrewBrief does not send marketing SMS.
By using the Service you consent to transact business electronically with CrewBrief and with other users through the Service: to receive records, notices, and disclosures electronically, and to sign documents electronically. Your electronic signature and electronic records have the same legal force and effect as handwritten signatures and paper records, consistent with the federal E-SIGN Act and applicable state Uniform Electronic Transactions Act (UETA) enactments, including Texas Business & Commerce Code Chapter 322.
To access electronic records you need a device with a current web browser, an internet connection, and either a valid email address or an SMS-capable mobile number. You may download or export a copy of any document you sign, and you may request a paper copy of any record we hold about you by emailing hello@crewbriefapp.com. You may withdraw your consent to electronic transactions by emailing the same address; because the Service is delivered electronically, withdrawing consent will prevent further use of the Service, but it does not affect the validity of records you signed before withdrawal.
The Service is currently offered in beta. Pricing, tiers, and paid features will be announced before general availability; any paid subscription will be governed by the fee terms presented at purchase, including renewal and cancellation terms, and you will always be able to export your records before an account closure takes effect.
Records you create and seal during beta are real records. They are sealed, carry a timestamp, and are retained on the same terms as any other record under these Terms. Nothing in this section limits their integrity or your right to rely on them.
You may stop using the Service at any time. CrewBrief may suspend or terminate your access immediately, without notice, if you breach these Terms, engage in fraudulent, abusive, or illegal activity, or if your continued access poses a risk to the platform, other users, or CrewBrief.
Upon termination you will be given a reasonable window to export your records unless we are legally prohibited from providing one. Sealed records to which other users are a party survive your termination for those users. Sections of these Terms that by their nature should survive termination (including Records, Warranty Disclaimer, Limitation of Liability, Indemnification, and Arbitration) survive.
CrewBrief provides tools to flag, dispute, and amend session records. These tools are documentation only. CrewBrief is not a mediator, arbitrator, escrow agent, or party to any dispute between Contractors and workers, and has no obligation to intervene, take sides, or enforce any outcome.
You release CrewBrief from all claims, demands, and damages arising out of or connected with any dispute between you and another user, including disputes over payment, hours, classification, or work quality.
To the maximum extent permitted by applicable law, CrewBrief LLC and its members, managers, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising from or related to the Service, even if advised of the possibility, including without limitation:
The aggregate cap above does not apply to claims that by statute cannot be capped, including statutory wage claims for which a cap is not permitted by applicable law.
Nothing in this section limits or excludes our liability for our own gross negligence, willful misconduct, or fraud, or for death or personal injury caused by our negligence, or for any other liability that cannot be limited or excluded under applicable law. Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the fullest extent permitted by law. Each provision of this section allocates risk and is an essential basis of the bargain between you and CrewBrief.
You agree to defend, indemnify, and hold harmless CrewBrief LLC and its members, managers, officers, employees, and agents from and against any claims, demands, actions, damages, losses, liabilities, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with our defense.
This arbitration agreement governs disputes between you and CrewBrief only. It does not apply to disputes between Contractors and workers, which are governed by the agreements between those parties — CrewBrief is not a party to those agreements or those disputes.
Delegation: the arbitrator, and not any court or agency, has exclusive authority to resolve any dispute about the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of it is void or voidable — except that only a court may decide the enforceability of the class action waiver above.
Harassment and assault claims: as provided by the federal Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act, this arbitration agreement does not require arbitration of a claim of sexual assault or sexual harassment; if you bring such a claim, you may elect to proceed in court instead of arbitration.
Arbitration costs: if you are an individual worker, you pay only the arbitration filing fee up to the amount of the filing fee for a case in the courts of the county of your residence (or the AAA consumer filing fee, if lower), and CrewBrief pays all remaining arbitration filing, administration, case-management, hearing, and arbitrator fees and costs. Each party bears its own attorneys' fees unless applicable law or the arbitrator provides otherwise. Nothing in this arbitration agreement requires you to pay any fee or cost that you would not be required to pay in court.
Public injunctive relief and representative claims: nothing in this arbitration agreement waives your right, where applicable law makes that right unwaivable, to seek public injunctive relief in court (including under California law as interpreted in McGill v. Citibank), or to bring a representative action under a statute (such as the California Private Attorneys General Act) to the extent a pre-dispute waiver of that action is unenforceable. Where such a claim proceeds, all other claims remain subject to individual arbitration under this section, and the non-arbitrable claim is stayed pending arbitration to the extent the law permits.
Savings clause and severability of this section: this arbitration agreement is intended to be enforced to the fullest extent the law allows and no further. If any part of this arbitration agreement is found unenforceable, that part shall be severed and the remainder shall remain in effect — except that if the class action waiver is found unenforceable as to a particular claim, then that claim (and only that claim) shall proceed in court rather than arbitration, and the waiver remains in effect for all other claims.
You may opt out of this arbitration agreement by emailing hello@crewbriefapp.com within 30 days of first accepting these Terms, stating your name, account email, and intent to opt out.
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Arbitration shall take place in Collin County, Texas (or remotely by agreement), and any proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Collin County, Texas, to whose personal jurisdiction you consent.
The CrewBrief platform — its design, code, branding, and documentation — is the intellectual property of CrewBrief LLC. You may not copy, modify, distribute, or reverse-engineer any part of the Service without written permission.
You retain ownership of content you upload (photos, notes, job data). You grant CrewBrief a limited, non-exclusive license to store, process, and reproduce that content solely to provide the Service, including embedding it into sealed records. If you submit feedback, we may use it without obligation to you.
We may update these Terms from time to time. Every version is stored, and every acceptance is timestamped against the version accepted. For material changes we will notify users via email or in-app notification and, where required, ask you to re-accept. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
